breach of contract - a failure, without legally sufficient excuse, of one party to fulfill the requirements of a contract. A breach by one party may lead to an award of money damages by a court or arbitrator. Alternatively, a breaching party may be ordered to perform the act they have refused to do, such as transfer title to property. This form of remedy is called specific performance.
