material fact - a fact, whose knowledge might cause a reasonable person to pursue or refrain from pursuing a course of action. Nondisclosure of a material fact by a principal or an agent may lead to a cause of action for recission or damages on the part of the party injured by the failure to disclose. See also disclosure.
