unreasonably withheld consent ? the capricious or arbitrary refusal by a party to a contract to consent to an assignment of rights to the contract. In contracts such as leases that permit subleases, there may be a contract clause prohibiting the landlord from unreasonably withholding consent to a sublease to a credit-worthy and otherwise appropriate tenant.
